Terms of Service

These Terms govern your use of Sherwood (the "Service"). By creating an account you agree to these Terms. If you don't agree, don't use the Service.

1. Who we are

Sherwood is operated by a sole proprietor based in the United Kingdom. You can reach us at hello@sherwood.camp.

2. Your account

You're responsible for keeping your login credentials safe. One person, one account. Don't share your login. You must be at least 18 years old to use Sherwood.

3. What Sherwood does

Sherwood helps freelancers and small businesses send invoices, draft proposals, track expenses, and estimate taxes. Sherwood is a productivity and recordkeeping tool. It is not accounting software, a bookkeeping firm, a tax filing service, a registered tax return preparer, a law firm, or a substitute for a qualified accountant, tax advisor, or lawyer.

Sherwood does not prepare, sign, file, or submit tax returns or other filings for you. It does not audit your records, determine your legal obligations, decide what tax treatment is correct for you, or provide individualized legal, tax, accounting, investment, or financial advice. Any estimate, draft, export, checklist, scan, or suggestion is a starting point for your own review with a qualified professional where appropriate.

4. Plans and billing

Sherwood is free to start. Paid plans (Pro and Studio) are billed monthly in USD via Stripe. You can cancel any time from your Settings โ†’ Plan tab. Cancellation takes effect at the end of your current billing period; we do not refund partial months.

One-time purchases (AI Boost packs, customization unlocks) are non-refundable once delivered. Stripe processing fees are non-refundable.

5. Payments you accept through Sherwood

If you accept payments from your clients through Sherwood, those payments are processed by Stripe. You're responsible for the goods and services you sell. Sherwood is not a party to the agreement between you and your client.

You are responsible for refunds, chargebacks, disputes, taxes, customer support, and any legal obligations connected to the invoices, proposals, products, or services you sell. Sherwood does not guarantee that a client will pay you, that a payment will not be disputed, or that an invoice or proposal is legally enforceable in your jurisdiction.

Free-tier users pay Stripe's standard processing fees plus a small platform fee added by Sherwood. Pro and Studio users pay only Stripe's standard processing fees. Exact fees are shown at the time of each transaction.

6. Your content and data

You own your data. We store it on your behalf so you can use the Service. We won't sell it, share it, or use it to train AI models. See the Privacy Policy.

7. Acceptable use

Don't use Sherwood to invoice for illegal activity, send spam, harass anyone, or to abuse the AI features (jailbreak attempts, prompt injection, automated mass requests). We can suspend your account for any of these without notice.

8. AI features

Some features (proposal drafts, email tone, receipt scanning, tax-planning scans, contract-reading notes, negotiation notes, weekly briefings, and similar) call third-party language models, currently Anthropic Claude. AI output is generated text. It can be inaccurate, incomplete, biased, or wrong in ways that look confident.

You agree that AI output is provisional. Before you rely on anything an AI feature produces - sending a proposal, filing a tax form, signing a contract, or acting on a recommendation - you are responsible for reviewing it for accuracy, suitability, and current law. AI features are drafting and review aids only. They do not create an accountant-client, tax-advisor-client, attorney-client, fiduciary, or other professional relationship.

Sherwood is not liable for losses, missed deadlines, contract disputes, tax penalties, regulatory issues, or other harm that result from acting on AI output without independent review. This limitation applies even if we knew or should have known that the AI could produce a particular kind of error. Section 11 (Liability) caps any remaining exposure.

We may change AI model providers, model versions, or the way features behave, at any time and without notice. We may also pause or remove AI features if abuse, cost, or quality problems require it.

9. Tax estimates, exports, and records

Tax dashboards, quarterly estimates, deductible flags, mileage calculations, exports, and AI tax scans are rough planning tools based on the records and settings available in your account. They may not include every tax, deduction, credit, filing status, threshold, jurisdiction, sales tax, VAT/GST rule, state or local obligation, or year-specific change that applies to you.

You are responsible for entering accurate records, choosing the correct tax settings, keeping original receipts and source documents, meeting filing and payment deadlines, and confirming all figures before using them with a tax authority or accountant.

10. Proposals, signatures, and client documents

Sherwood can help you create proposals, collect typed signatures, and share invoices or documents with clients. You are responsible for the content of those documents and for deciding whether the signature method, contract terms, and records are suitable and enforceable for your transaction and jurisdiction. Sherwood is not a party to those client agreements.

11. Cancellation and data export

You can export your data (clients, invoices, expenses) as CSV from Settings at any time. You can delete your account from Settings โ†’ Danger Zone. Deletion removes your data from our production database within 30 days. Backups may retain a copy for up to 90 days, after which they are overwritten on a rolling basis.

12. Service availability

Sherwood is provided "as is." We aim for high uptime but don't guarantee it. We can change or discontinue features with reasonable notice. If we discontinue the Service entirely, we'll give at least 60 days notice and a way to export your data.

13. Liability

To the extent permitted by law, Sherwood's total liability to you for any and all claims arising from your use of the Service - including claims related to AI output, tax estimates, invoice generation, payment processing, downtime, data loss, or any other feature - is capped at the amount you paid us in the 12 months before the claim.

We are not liable for lost profits, lost revenue, lost data beyond what backups can recover, consequential damages, or losses caused by your reliance on AI output, tax estimates, or anything else Sherwood produces. The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

Nothing in these Terms limits liability for matters that cannot be limited under applicable consumer-protection law (for example, fraud, death, or personal injury caused by negligence).

14. Indemnification

You agree to defend and hold Sherwood harmless from any third-party claim that arises from the content you put into Sherwood or send through it - invoices, proposals, client emails, tax filings, and so on. Your work is your work. We're the tool; you're the one putting it in front of clients and regulators.

15. Changes to these Terms

We may update these Terms. If a change materially affects your rights we'll email you at least 14 days before it takes effect. Continued use after that date means you accept the new Terms.

16. Governing law

These Terms are governed by the laws of England and Wales. Any dispute will be heard in the courts of England and Wales.
